1. Definitions

• "Service" means E-Khata Cloud's accounting, inventory, and business-management software and related websites and applications.
• "Account" means the account you create to access the Service.
• "Your Data" means the business and financial information you and your users submit to the Service, including parties, products, invoices, ledgers, and documents.
• "Content" means text, data, files, and other materials made available through the Service.

2. Eligibility and Registration

You must be at least 18 years old and capable of forming a binding contract to use the Service. You agree to provide accurate, current, and complete information when registering and to keep it up to date.

You are responsible for safeguarding your login credentials and for all activity that occurs under your Account. Notify us immediately of any unauthorized access or use.

3. The Service and Plans

E-Khata Cloud provides cloud-based tools to record sales, purchases, inventory, payments, and accounts, and to generate reports and documents. We may offer free and paid subscription plans with different features and limits, which we may update from time to time.

We may modify, add, or discontinue features of the Service. Where a change materially reduces the core functionality of a paid plan, we will make reasonable efforts to notify you.

4. Your Responsibilities

When using the Service, you agree to:

• Provide accurate business and financial data and keep your records up to date;
• Use the Service in compliance with all applicable laws and regulations;
• Maintain the security of your Account and your users' access;
• Be responsible for the acts and omissions of users you invite to your business.

5. Your Data and Ownership

As between you and E-Khata, you own Your Data. You grant us a limited, non-exclusive license to host, process, transmit, display, and back up Your Data solely to provide and improve the Service and as permitted by our Privacy Policy.

You are responsible for the accuracy, quality, and legality of Your Data and for obtaining any consents required to provide it to us. We recommend that you maintain your own backups of important records.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful, fraudulent, or misleading purpose;
• Upload malicious code or interfere with the integrity or performance of the Service;
• Attempt to gain unauthorized access to the Service, other accounts, or our systems;
• Reverse engineer, copy, resell, or create derivative works of the Service except as permitted by law;
• Use the Service to store or transmit content that infringes the rights of others.

7. Fees and Payment

If you subscribe to a paid plan, you agree to pay the applicable fees described at the time of purchase. Unless stated otherwise, fees are exclusive of taxes, for which you are responsible. Fees are non-refundable except where required by law or expressly stated. We may change our prices on prospective notice, effective at your next billing cycle.

8. Tax and Compliance Disclaimer

E-Khata Cloud is a software tool that helps you maintain records and prepare documents. It does not constitute accounting, tax, legal, or financial advice. You remain solely responsible for the accuracy of your records and for meeting your obligations to the FBR, PRA, SRB, SECP, and any other authority, including the timely and correct filing of returns and payment of taxes. Where compliance features are provided, you are responsible for verifying their suitability for your circumstances.

9. Intellectual Property

The Service, including its software, design, text, graphics, logos, and trademarks, is owned by E-Khata Cloud or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. No rights are granted except as expressly set out here.

10. Third-Party Services

The Service may integrate with or rely on third-party services, such as Google Sign-In and Google Cloud. Your use of those services is governed by the relevant third party's terms and privacy policies. We are not responsible for third-party services that we do not control.

11. Service Availability and Support

We strive to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable for maintenance, updates, or factors beyond our control. We provide support through the channels described on our website.

12. Suspension and Termination

You may stop using the Service and close your Account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or where required to protect the Service, other users, or to comply with law.

Upon termination, your right to use the Service ends. We will make Your Data available for export for a reasonable period unless prohibited by law, after which it may be deleted in accordance with our Privacy Policy.

13. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or be uninterrupted, secure, or error-free.

14. Limitation of Liability

To the maximum extent permitted by law, E-Khata Cloud and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service.

To the maximum extent permitted by law, our total liability for any claims relating to the Service will not exceed the amount you paid us for the Service in the twelve months preceding the event giving rise to the claim.

15. Indemnification

You agree to indemnify and hold harmless E-Khata Cloud and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of Your Data, your use of the Service, or your breach of these Terms or applicable law.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts of Pakistan for any dispute arising out of or relating to these Terms or the Service.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
